| Ng Wai King heads the Corporate/Mergers & Acquisitions Practice. Wai King's experience encompasses mergers & acquisitions ("M&A"), capital markets, financial services advisory and regulatory work, and telecommunications regulatory and transactional matters. Wai King's M&A experience includes advising Kohlberg Kravis Roberts & Co. L.P. ("KKR") in the acquisition of MMI Holdings Limited. This transaction is one of the largest buyouts of a Singapore company by a private equity fund. Wai King also advised Colony Capital in the acquisition of the “Raffles” and “Swissotel” hotel business from Raffles Holdings Limited. The KKR acquisition was recognised as the "Best Leveraged Financing" deal by FinanceAsia while the Raffles transaction was recognised as the "Singapore M&A Deal of the Year" by Asian Legal Business. More recently, Wai King advised JTC Corporation (a Singapore government agency) on its disposal of a S$1.71 billion portfolio of industrial property to Mapletree Investments Pte Ltd following a competitive auction process. In the context of public company M&A, Wai King has advised on the takeovers and/or privatisation of Unisteel Technology Ltd, Delong Holdings Limited, The Ascott Group Limited, Robinson & Co. Ltd, Want Want Holdings Ltd., Sembawang Kimtrans Limited and Media Asia Entertainment Limited. His experience also extends to cross-border transactions where he has advised parties involved in the acquisition of assets/shares in jurisdictions outside Singapore. For instance, Wai King was part of the team that advised the Sampoerna family in the sale of shares in PT HM Sampoerna (a company listed on the Jakarta Stock Exchange) to Philip Morris International. In the context of capital markets transactions, Wai King advises financial institutions and underwriters in securities offerings. He advised the joint global coordinators, Credit Suisse First Boston and UBS Investment Bank, in StarHub Ltd's IPO (which was recognised as "Singapore Deal of the Year" by Asian Legal Business). He subsequently advised Credit Suisse First Boston and UBS Investment Bank in MediaCorp's secondary offering of shares in StarHub Ltd. More recently, Wai King advised Merrill Lynch and Prime Partners in Satya Capital's secondary offering of shares in Singapore Petroleum Corporation Limited. Wai King has advised banks, investment banks, stockbroking companies and other financial institutions on various aspects of the Singapore banking and securities regulatory framework. His experience in this area includes advising on the licensing framework and compliance requirements under the Securities and Futures Act for carrying on banking and securities business in Singapore. He was involved in providing legal input to the Singapore Investment Banking Association (“SIBA”) with respect to the introduction of the due diligence guidelines for issue managers with respect to IPOs in Singapore. The guidelines were formulated by SIBA in conjunction with the Monetary Authority of Singapore and the Singapore Exchange Securities Trading Limited. Wai King graduated from the National University of Singapore where he was awarded the AV Winslow Prize, and obtained a LL.M. from Columbia University School of Law where he graduated as a Harlan Fiske Stone Scholar. He teaches certain aspects of Corporate Finance Law at the Faculty of Law, National University of Singapore.
