Rosabel NG is a Partner in the Debt Capital Markets & Structured Finance Practice.

Her main practice areas are structured finance, derivatives, and other treasury-related work.

She has been involved in rated and unrated asset-backed securitisations, including the 2006 CMBS transaction by K-REIT Asia, the 2006 RBS transaction by CapitaLand Residential Limited, the third and fourth CMBS transactions for CapitaMall Trust, Singapore’s first listed real estate investment trust, the 2005 CMBS transaction by Macquarie MEAG Prime REIT, and a proposed global ABS programme involving the securitisation of derivatives-trading receivables by a major US financial group.

In the context of structured products and derivatives, she has worked with investment banks and corporate investors in various listed and unlisted credit-linked, equity-linked, commodity-linked and index-linked note issues, including the first Singapore public retail offer of structured notes by a corporate issuer, Keppel Structured Notes Pte. Limited, a wholly-owned subsidiary of Keppel Corporation Limited, in 2006; the establishment of Singapore retail structured note programmes for each of Morgan Stanley and Société Générale in 2006 and 2007 respectively. She also advises banks, insurance companies, fund managers, other financial institutions and corporate end-users on legal, regulatory and structural issues relating to plain vanilla and exotic OTC derivative products and instruments, and also has on numerous occasions prepared, reviewed and negotiated derivatives documentation, including term sheets, risk disclosure statements, be-spoke derivative trading agreements and standard master agreements (such as the ISDA Master Agreement, FRABBA, AFB Master Agreement, FX Netting & Close-Out Agreement, ICOM, IFEMA and FEOMA), credit support and collateral arrangements, and mark-to-market agreements.

Apart from her transactional work experience, Rosabel has also participated in a legal audit on the Singapore derivatives operations and documentation of a financial Institution.

Prior to joining WongPartnership LLP, Rosabel was an Associate Director in a leading Singapore law corporation and had also practiced briefly in London in 2001. She was also seconded to the Legal Department (Treasury) of Citibank N.A., Singapore for a period of about 8 months in 1995.

Rosabel graduated from the National University of Singapore and attended King’s College, University of London where she obtained a Master of Laws degree. She was admitted to the Singapore Bar and to the Roll of Solicitors of England & Wales. Rosabel speaks English, Mandarin and French, and is conversant in basic Japanese.
