NG Eng Leng, Partner

NG Eng Leng is the Head of Mergers & Acquisitions (Middle East and India), and is a Partner in the Corporate/Mergers & Acquisitions Practice. 

His main areas of practice are cross-border mergers and acquisitions and corporate commercial work. He is also active in corporate finance, corporate restructurings, securities law, and general corporate law.

Eng Leng has acted for Emaar Properties PJSC in connection with its investment in Emaar MGF Land Limited ("EMGF") of up to US$150 million. The investment would be made directly or indirectly in three or more subsidiaries and/or affiliates of EMGF, which would hold various parcels of land, intended to be developed into various projects comprising of residential, commercial, Special Economic Zones, Information Technology parks, hotels, etc. Emaar MGF Land Limited is itself a joint venture between Emaar Properties PJSC and MGF Development Ltd, an Indian company. He also acted for Parkway Holdings in its tender for the first private hospital site made available by the Government of Singapore in 30 years for S$1.25 billion, as well as in connection with its 50:50 Joint Venture to construct, develop, establish and operate a green-field, multi-specialty hospital in Mumbai, India, and in its acquisition of a 60 per cent stake in the World Link chain of clinics operating in Shanghai, China for over US$43 million. He is advising Kim Eng Holdings Limited ("Kim Eng Holdings") in the approximately S$166 million voluntary conditional cash partial offer by Mitsubishi UFJ Securities Co., Ltd for 11 per cent of the issued ordinary shares in the share capital of Kim Eng Holdings. The partial offer values Kim Eng Holdings at approximately S$1.509 billion.

Eng Leng also acted for Pacific Internet Limited ("PacNet") in the successful offer to purchase by Connect Holdings Limited in 2007 which valued PacNet at US$138 million, as well as on corporate governance and compliance matters in relation to the shareholder issues (including requisitions to remove and appoint directors) after the failed takeover attempt by MediaRing Ltd for the shares in PacNet, and in the US$128 million voluntary conditional cash offer by MediaRing Ltd for the shares in PacNet in 2006. The latter won the Singapore M&A Deal Of The Year at the 2007 ALB SE Asia Law Awards.

Eng Leng graduated from the National University of Singapore where he also obtained a Master of Laws. He was admitted to the Singapore Bar, the West Malaysia Bar and to the Roll of Solicitors of England & Wales.

He is also described by Who's Who Legal - Singapore 2008 as "extremely well regarded by his peers".
