Dorothy Marie NG co-heads the Corporate Real Estate Practice.
Her practice spans the full spectrum of property and property-related transactions. Her experience encompasses acquisitions, dispositions, leasing and development of all real properties (including residential, commercial and industrial properties whether private properties, state properties or properties from the various statutory boards such as the Jurong Town Corporation, Urban Redevelopment Authority, Civil Aviation Authority of Singapore) secured financing, bilateral or syndicated loans, joint ventures, project finance, asset and business acquisitions and asset restructuring.
Transactions of significance which Dorothy has been involved in include acting for Jurong Town Corporation as vendor in the divestment of its portfolio of industrial assets (comprising flatted factories, ramp-up and stack-up factories and multi-tenanted business park buildings) to a private trust sponsored by Mapletree Investments Pte Ltd, for a total consideration of S$1.71 billion; Ascendas Real Estate Investment Trust (A-Reit) in its acquisitions and lease-back of various properties including Acer Building at 29 International Business Park and Creative Resource at 31 International Business Park; Huntsman Corporation (the fourth largest chemical manufacturer in the United States) in its acquisition of the land in Jurong Island for the construction of its first polyetheramine manufacturing plant in Singapore; the Lum Chang Group of companies in their divestment of their Chinatown properties at Smith Street and Trengganu Street and their prestigious bungalow development at Swettenham Road which includes the largest number of Conservation houses; the Ascendas Group of companies in all their industrial developments in Singapore and the sale of units thereof, including their first development, Frontier and their latest, Singapore's first privately owned development of a ramp-up food factory known as FoodXchange@Admiralty.
Dorothy has also acted for numerous institutions, mandated lead arrangers, facility agents, security agents and lenders of facilities to various corporations and entities for acquisitions, development and refinancing including the Pontiac Group of companies on the security of various portions of the Ritz Carlton Hotel / Millenia Tower / Millenia Walk Project; LC Airport Hotel Pte Ltd in the S$120 million financing for the development secured on the first hotel at Changi Airport- the Terminal 3 airport hotel; and CapitaRetail Singapore Limited in the S$350 million facilities secured on malls held by property trusts and the UOL Group of companies to finance their en-bloc acquisitions and developments of, inter alia, Nassim Park, Duchess Walk and Green Meadows. She was involved in one of the largest real estate financing deals in 2007 where she acted for the syndicate of banks in the real estate acquisition financing to South Beach Consortium Pte. Ltd. to part-finance the acquisition of the former NCO Club site at Beach Road (what is likely the last major historically iconic site in Singapore with four buildings gazetted as "Conservation Area" under the Planning Act). Some borrowers she has acted for include Richmond Hotel Pte Ltd & Tomlinson Hotel Pte Ltd in their S$450 million project financing facilities for the exclusive “St Regis” Project; and Millenia Hotel Pte Ltd in its $180 million facilities for its development of the Cappella.
Dorothy is called to the Singapore Bar. She has been on the Panel of advocates and solicitors for appointment to the Disciplinary Committee (“DC”) under the Legal Profession Act since 1995 and has presided over several disciplinary proceedings as a DC member. Dorothy sits on the Law Society of Singapore's Conveyancing Practice Committee.
Dorothy served as a part-time tutor for the Post Graduate Practical Law Course conducted by the Board of Legal Education between 1991 and 1999. She authored an article in the Manual used in the Conveyancing module of the Post Graduate Practical Law Course conducted by the Board of Legal Education, which has been reproduced in The Halsbury’s Laws of Singapore Volume 14.
