Dawn LAW is a Partner in the Corporate/Mergers & Acquisitions Practice.
Her main areas of practice encompass equity and finance transactions, mergers and acquisitions and general corporate law.
Transactions of significance which Dawn has been involved in include acting for CBM International Pte Ltd ("CBM") in an agreement with Gulf Industrial Services Co, general partnership, to establish a limited liability company in Abu Dhabi, UAE to provide facilities management services. This agreement is a flagship initiative for Singapore’s CBM, marking its entry into the booming engineering, construction, and property development sectors in Abu Dhabi, and eventually in the Middle East. She also acted for Advanced Semiconductor Engineering Inc ("ASE Inc") in its proposed privatisation of ASE Test Limited ("ASE Test") by way of a scheme of arrangement under Section 210 of the Companies Act, Chapter 50 of Singapore for approximately US$784 million (approximately S$1.2 billion). This is the first scheme of arrangement in Singapore involving a company with listings in NASDAQ and TSE.
Dawn also acted for Goldman Sachs (Singapore) Pte., the financial adviser to Singapore Technologies Semiconductors Pte Ltd in the voluntary conditional cash offer for STATS ChipPAC Ltd. The estimated transaction value was S$2.85 billion. This was the first single offer made in Singapore for a target company having a dual-listing on both the Singapore Exchange Limited and NASDAQ; Pacific Internet Limited (“PacNet”) in the failed take-over attempt by MediaRing Ltd for the shares in PacNet in 2006; and in the approximately US$138 million (S$211 million) pre-conditional voluntary general offer by Connect Holdings Limited for PacNet in 2007; Overseas Union Enterprise Limited ("OUE") in relation to the mandatory unconditional cash offer made by BNP Paribas Peregrine (Singapore) Ltd for and on behalf of OUE Realty Pte. Ltd. (formerly known as "Lippo Property Investment Pte. Limited") for OUE - the deal valued OUE at approximately S$1.8 billion, as well as Golden Ace Pte. Ltd, a joint venture company formed by Dubai-based Emaar Properties PJSC group and Indian real estate developer MGF group, in a voluntary conditional cash offer for Singapore-listed retailer RSH Ltd - in a deal that valued RSH at approximately S$370 million.
Dawn graduated from the National University of Singapore and was admitted to the Singapore Bar.
