HUI Choon Yuen, Partner

HUI Choon Yuen heads the Debt Capital Markets & Structured Finance Practice and is a Partner in the Corporate/Mergers & Acquisitions Practice.

His main practice areas are debt capital markets, securitisations, mergers & acquisitions, corporate finance and venture capital.
 
Choon Yuen acted for CapitaLand Limited in the issue of S$1.3 billion 3.125 per cent convertible bonds due 2018. The Bonds are convertible into ordinary shares of the Company. This is the largest convertible bonds issuance in Singapore to date. He also advised on a groundbreaking SME loan securitisation for the Standards, Productivity and Innovation Board of Singapore. This won the Singapore Structured Finance & Securitisation Deal Of The Year at the 2007 ALB SE Asia Law Awards.

Choon Yuen acted for SGA Société Générale Acceptance N.V. (the issuer) in its establishment of a new retail structured note programme of up to US$2 billion in Singapore and the initial issue of commodity linked notes under this programme. SGA Société Générale Acceptance N.V. is a special purpose vehicle of Société Générale, which issues all its retail structured products, including existing exchange traded warrants. This is the first time the regulatory authorities have allowed an offer of retail structured notes to be made by an entity which was not strictly a “single purpose vehicle” within the definition of “Structured Notes” under the Securities and Futures Act.

Choon Yuen also acted for The Hongkong and Shanghai Banking Corporation Limited, as the arranger and dealer as well as Silver Oak Ltd in the establishment of a S$10 billion multicurrency secured medium term note programme and the issue of 3 series of US Dollar and Euro denominated secured floating rate notes due 2013 ("Series 1 Notes") by a special purpose vehicle, Silver Oak Ltd. pursuant to the said Programme. The Series 1 Notes are backed by cashflow and assets from Raffles City, which is owned by RCS Trust, an unlisted special purpose sub-trust of which CapitaCommercial Trust and CapitaMall Trust each owns an interest of 60 per cent and 40 per cent respectively.

Choon Yuen has also acted for Ascendas Pte Ltd in the establishment of a S$1 billion Multicurrency Medium Term Note Programme jointly arranged by DBS Bank and Citicorp Investment Bank (Singapore) Limited.

Choon Yuen graduated from the University of Bristol and was admitted to the Singapore Bar.

Choon Yuen is a member of the best practice working sub-committee of the Debt and Capital Market Committee within the Singapore Investment Banking Association.

Choon Yuen co-authored the Singapore Chapter in PLC Cross-border Handbook: Capital Markets 2007/08.

Choon Yuen is recommended as a leading lawyer by PLC Cross-border Handbook: Capital Markets 2007/08 and he is also described by Who’s Who Legal - Singapore 2008 as “a debt capital markets and structured finance expert”.
