Carol Anne Tan is the Head of International Real Estate and a Partner in the Corporate Real Estate Practice.
Her main areas of practice are property-related corporate disposals or acquisitions, tenders, government land sales, property regulatory and advisory work, leasing, financing, joint ventures, general corporate and commercial work.
Carol has been involved in some of the largest office transactions in Singapore including acting for George Street Pte. Ltd. (an indirect wholly-owned subsidiary of CapitaLand Limited) in the divestment of 1 George Street, Singapore, a 23-storey Grade A commercial building, to CapitaCommercial Trust for S$1.165 billion; acting for the purchaser in the acquisition of Hitachi Tower for S$811 million as well as Chevron House (formerly known as Caltex House), for S$730 million; and acting for Temasek Tower Limited in the sale of its principal asset, Temasek Tower for over S$1 billion.
She also has experience in residential and mixed developments including acting for CapitaCommercial Trust in the acquisition of Wilkie Edge, a mixed development, from CapitaLand Selegie Private Limited for a total consideration of S$262 million, and in the lease of the serviced residence within Wilkie Edge to Ascott Scotts Pte Ltd at a consideration of S$79.3 million. She also acted for US-based Wachovia Development Corporation, in their acquisition of 44 units of Cliveden at Grange condominium.
Carol’s REITS experience includes acting for the underwriters in the initial public offering ("IPO") of CapitaRetail China Trust - the first pure-play China retail REIT in Singapore; the IPO and acquisition of 74 per cent interest in Wisma Atria and a 23 per cent interest in Ngee Ann City, valued at approximately S$1.3 billion, by Macquarie Prime REIT; and acting for the underwriters in the IPO and acquisition of 27 industrial, including warehousing properties by Cambridge Industrial Trust. She is currently acting for The Islamic Bank of Asia in the proposed conversion of Cambridge Industrial Trust into a Shariah-compliant REIT. Upon conversion, Cambridge Industrial Trust will become Singapore's first publicly-listed Shariah-compliant REIT.
Carol was the General Counsel to a Singapore incorporated subsidiary of a US-listed entity in the independent power production industry in China and has advised on mergers and acquisitions, private equity investments, project financing, power purchase contracts and international financing through the World Bank and other international lenders as well as property-related acquisitions in China and FIE rules and regulations.
Carol graduated from the National University of Singapore was admitted to the Singapore Bar. She was awarded the Aw Boon Haw and Aw Boon Par Memorial Prize for Best Student at the Post Graduate Law Course in 1986 and jointly awarded the Tan Ah Tah Book Prize for Professional Responsibility.
In the publication Who's Who Legal - Singapore 2008, Carol was recognised as "truly proficient" in the areas of "acquisition and divestment funds, real estate investment trusts and joint ventures with a real estate focus", and the areas of "property related corporate disposals, government land sales and property regulatory and advisory work". Carol has also been ranked in the Guide to the World's Leading Real Estate Lawyers 2008.
